RiskFacts is an online platform that makes it easy to search and evaluate environmental risk factors related to real estate. We provide fast and reliable access to regulatory databases, and we are expanding our services to cover other types of risk soon, allowing our users to effortlessly search and forecast risk.

Where Does RiskFacts Get its Data?

Our platform gives you access to over 42 million property records from the US, including Federal, State, Local, Tribal, and proprietary sources. The RiskFacts Team regularly updates, adds, and reviews these databases to ensure accuracy and provide the best risk analysis.

How are Risk Forecasts Determined/Validated?

RiskFacts has a dedicated team of environmental scientists, engineers, remediation specialists, and former environmental regulators with over 15,000 combined environmental due diligence and remediation project experience. Using this extensive experience and outcomes, we have developed a proprietary algorithm that evaluates each identified database to determine its “risk” forecast relative to these projects. As risk can be interpreted differently by different entities or individuals, the User assumes responsibility of making use of and/or relying upon the information available on or through this Site, in Reports, and/or in Services. Such information is provided “as is” without warranty of any kind.

What is Environmental Risk?

In RiskFacts, environmental risk includes the potential for surface and/or subsurface media contamination at a property due to hazardous materials, hazardous wastes, or petroleum products that have been stored or released at or near the property. This contamination can pose a risk to human health and/or the environment, and may also result in financial costs to owners, operators, or other potentially responsible parties (PRPs).

We are here to help you with all follow-up questions and additional services related to property transactions. We can provide legal protections from the cost of remediation, including the Bona Fide Prospective Purchaser (BFPP), Innocent Landowner, and/or Contiguous Property Owner defenses afforded by the USEPA (All Appropriate Inquiries Final Rule (epa.gov)).

What Do the Environmental Risk Forecasts Mean to Me?

RiskFacts provides an algorithm to help forecast environmental risks specific to government environmental database listings. However, it is not a substitute for a Phase I Environmental Site Assessment. We suggest users use their discretion when viewing the risks forecasted by our algorithm further described below.

LOW	=	Low to minimal environmental risk to the subject property. Example: This site contains a stormwater permit.
AVERAGE	=	Chemicals are present, or have been present; however, there is no documented release of hazardous materials. Example: This site is a paint store which stores hazardous materials and generates hazardous wastes.
CAUTION	=	The identified point of interest has had a documented release of hazardous materials or petroleum to the environment. Example: This site is a gas station with an existing Leaking Underground Storage Tank (LUST) Case.

What is meant by Map Layers?

Federal and/or State agencies may provide mapped layers of 100-year floodplains, wetlands, NPL/superfund sites, and Brownfields areas. These layers can help you assess potential risks. Not all areas will have these layers, as availability depends on what the government agencies make available.

What is a Point of Interest?

A point of interest is a physical location listed in a government database that has been identified by the RiskFacts algorithm based on its address or latitude/longitude.

RiskFacts® Terms and Conditions of Service

Use of the website and any of its functions indicates that you, the User (“User” or “Purchaser”), has accepted these Terms and Conditions of Service (“Terms”) of Envirosite Corporation dba “RiskFacts” website (RiskFacts.com) (“Site”), and that User understands these Terms and intends them to be the legal equivalent of a signed, written contract, and that User agrees to be legally bound by them without any limitation or qualiﬁcation (“Agreement”). If you, the User, do not agree to these Terms, you must immediately discontinue use of the Site, Services, and Reports, and exit the Site. By using the Site, you indicate your agreement with and to these Terms in their most recent version as currently published on the Site at any time.

“Services” shall mean the various property data and screening reports for speciﬁc parcels of property and (“Reports”), including, but not limited to, environmental data, screenings and risk scorings, climate risk, ESG, Compliance, Geologic, Civic and NEPA data and related types of documents.

Purpose and Intended Use

RiskFacts is a screening tool. It is intended to quickly and inexpensively provide users with potential environmental risk(s) that may be associated with a target property. RiskFacts connects to a variety of data sources that are populated, maintained, and made digitally accessible largely by government entities. While the databases that RiskFacts accesses are generally maintained by reliable operators, RiskFacts does not test or warrant the quality, veracity, or validity of this data, nor does RiskFacts warrant that all data potentially associated with a given user-query and Site has been accessed, processed, or provided to User in the query output. Additionally, given the nature of complex, dynamic environmental systems, it is neither possible, nor intended that these Services fully evaluate and describe all aspects of the property or provide site specific warranties or guarantees. Each property involves numerous complex and interconnected factors that are continually evolving due to numerous events, including, but not limited to, hydrological and geotechnical conditions, and the effects of human activity. The passage of time, manifestation of latent conditions, or occurrence of future events are not accounted for in the Services or Reports. User is encouraged to seek a detailed environmental analysis from a consultant of their own choosing to obtain specific, measurable data and analyses upon which User can rely. Consequently, decisions, plans, actions, and reliance hereon should be advanced or implemented in this context and in consideration of this intrinsic degree of uncertainty.

General Terms

1. Grant of License.

These Terms provide User with a personal, limited, revocable, non-exclusive, non-transferable, non-saleable license to use this Site and access property searches, conditioned on User’s continued compliance with these Terms. As a further condition of use of this Site, User warrants to RiskFacts that they shall not use this Site for any purpose that is unlawful, prohibited by any applicable law or regulation, or is otherwise inconsistent with these Terms, and that they shall not extract data contained in this Site to populate databases for User’s internal or external use.

2. Modification of Terms.

RiskFacts reserves the right to change the Terms under which this Site and its products are oﬀered to User. Any such change shall be eﬀective upon posting to this Site, which User agrees constitutes reasonable and sufficient notice. User’s continued use of the Site following such modiﬁcations shall be deemed acceptance of any changes to these Terms.

3. Intellectual Property and Use of Reports.

The Site and all of its original content are the sole property of RiskFacts and are fully protected by the appropriate international copyright and other intellectual property rights laws. RiskFacts owns a copyright in the Site as a collective work and/or compilation, and in the selection and arrangement of the Site's content and Reports generated through the Site. RiskFacts and its logo and all other trademarks, names, logos, and icons identifying RiskFacts, or RiskFacts’ data, Reports and Services are proprietary marks of RiskFacts and are registered and/or common law trademarks of RiskFacts, and may not be copied, imitated, or used, in whole or in part, without the prior written permission of RiskFacts. In addition, the look and feel of the Site, including all custom graphics, button icons, and scripts, is the service mark, trademark and/or trade dress of RiskFacts and may not be copied, imitated, or used, in whole or in part, without the prior written permission of RiskFacts.

User acknowledges that all Services and Reports are proprietary to RiskFacts and contain copyrighted material and valuable trade secrets of RiskFacts. All rights of RiskFacts as to the Reports are reserved. User agrees that it will use the Services and Reports solely for the declared business purposes and preserve and protect the Reports included from unauthorized use and/or disclosure. Except as speciﬁcally permitted, User shall not copy, sell, transfer, rent, lease, license, assign, alter, revise, publish, reverse engineer, distribute, disseminate, place on any Internet site, allow access to, create derivative works, or convey any portion of any Report. User shall not use the Report or any portion thereof to directly or indirectly compete with any products or services oﬀered by RiskFacts.

4. Compliance with Applicable Laws.

User's access to this Site is governed by all applicable laws of the United States of America, State of Texas, and county of Tarrant. User agrees to fully comply with all such laws.

5. Timely Payment for Services.

Invoices will be sent to User once per calendar month for the previous month’s Services. Payment in full from User shall be received no later than thirty (30) days from the invoice date and shall be deemed approved if no written objection is received within ten (10) business days after the invoice date. Any payment received after the deadline stated above shall be charged an additional 1.5% daily interest added to the invoiced amount for each day past due at RiskFacts’ full and sole discretion. Said daily interest shall continue to accrue until the invoice is paid in full. RiskFacts may, at any time and it is sole discretion, revoke User’s access to the Site for late/non-payment(s) until User’s account is paid in full, including any interest assessed and accrued.

6. Reliance by Third Parties.

All Reports are based on the data available as of the date of the government version which is reported in the data currency tracking section of the Reports and are intended solely for the use of the User/Purchaser. Data currency is determined from RiskFacts’ acquisition date of the data from its source. RiskFacts provides no warranties for use of or reliance upon the information contained in the Report as detailed herein.

7. Disclaimer and Limitation of Liability.

RiskFacts assumes no liability for faulty or inaccurate information provided by the User or any third party. In addition to User-provided information, the Reports may utilize a variety of public and other sources reasonably available to RiskFacts. RiskFacts does not assure, warrant, guarantee, or assume any liability whatsoever and RiskFacts shall bear no responsibility of any kind for the accuracy, comprehensiveness, timeliness, or completeness of any of such information it receives from third parties. User hereby agrees that it uses the Site and its Reports and Services AS-IS AND WITH ALL FAULTS, at its own risk, and without warranty of any kind. Specifically, RiskFacts disclaims the implied warranties of merchantability, fitness for a particular purpose, freedom from contamination by computer viruses, and non-infringement of proprietary rights. Additionally, RiskFacts makes no representations about the suitability, completeness, timeliness, reliability, legality, or accuracy of the information available on or through this Site or in any Report generated by User- provided information through this Site. The User assumes the sole risk of making use of and/or relying upon the information available on or through this Site, in Reports, and/or in Services.

User further acknowledges it has received, fully understands, and hereby agrees to the following: NO INFORMATION CONTAINED IN THE SITE, REPORTS, AND/OR SERVICES SHALL BE CONSTRUED OR USED AS LEGAL, REAL ESTATE, INVESTMENT, BUSINESS, OR FINANCIAL ADVICE OR THE LIKE INCLUDING, IN PARTICULAR, ANY AND ALL RISK ASSESSMENTS AND/OR RISK DESIGNATIONS. USER ASSUMES ALL RISKS IN ITS USE OF AND/OR RELIANCE UPON ALL RISK ASSESSMENTS AND/OR RISK DESIGNATIONS, REPORTS, SERVICES, AND THE SITE AND USER HEREBY RELEASES RISKFACTS FROM ANY AND ALL LIABILITY SHOULD USER DETRIMENTALLY RELY UPON SAID INFORMATION FOR ANY AND ALL PURPOSES. USER ACKNOWLEGES IT HAS BEEN ENCOURAGED TO AND HAS REASONABLE OPPORTUNITY TO CONSULT WITH RELEVANT SUBJECT MATTER EXPERTS, PROFESSIONALS, AND COUNSELORS (I.E. ATTORNEYS, AGENTS, BROKERS, ETC.) PRIOR TO AGREEING TO THE TERMS IN THIS DOCUMENT. USER FREELY AND VOLUNTARILY ACCEPTS THE RISKS, BOTH KNOWN AND UNKNOWN, AND HEREBY AGREES TO ACCEPT THEM AND PROCEED WITH THE USE OF THE SERVICES. THIS PROVISION SHALL SURVIVE THE TERMINATION AND/OR EXPIRATION OF THIS AGREEMENT. IF USER DOES NOT AGREE TO THIS OR ANY OTHER TERM IN THIS AGREEMENT, USER SHALL IMMEDIATELY DISCONTINUE USE OF THE SITE, REPORT, AND SERVICES AND SHALL NOT CONTINUE TO PAYMENT FOR ACCESS TO THE SITE, REPORT(S), OR SERVICES.

RiskFacts assumes no liability or responsibility for any failures, delays, or interruptions in the Site's accessibility; any losses or damages arising from the use of the Site; any conduct by other users of the Site; or unauthorized access to or use of the Site or its servers. RiskFacts reserves the right to maintain the Site and property risk screenings and Reports in its sole discretion. In no event shall RiskFacts or any of RiskFacts’ shareholders, directors, oﬃcers, employees, or agents be liable for any indirect, punitive, incidental, liquidated, special. or consequential damages arising out of or in any way connected with the use of this Site, any delay or inability to use this Site, or use or rely upon any information, Service(s), data, or Report(s) provided through this Site or otherwise arising out of the use of this Site. User hereby agrees to limit RiskFacts’ liability to the total amount User paid to RiskFacts in the three (3) months prior to the earliest date any alleged fault or wrongdoing is said to have occurred or forty percent (40%) of the annual subscription price. In the event that User may fit into both categories in the preceding sentence, the timeframe which provides the lesser amount shall be used in the calculation.

As it relates to third-party data covered in this Agreement, neither RiskFacts nor its third-party supplier(s) shall be liable to User or to any third-party associated with or connected to User for any indirect, incidental, consequential, special, punitive, or exemplary damages (including in each case, but not limited to, damages for the inability to use the Site, Report, or Services, the loss of data, loss of business, loss of profits, business interruption or the like) arising out of the use or inability to use the Services, Site, or Report(s) even if User has been advised of the possibility of such damages.

8. Indemnification

User agrees to defend, indemnify, and hold harmless, RiskFacts, its affiliates and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys' fees, court costs, and expert witness fees, arising out of the use of the Site, Services, and Reports by User or User's account.

9. Data Privacy

RiskFacts will only collect information necessary to establish payment and access to the Site. It does not sell User data or personally identifiable information. User information provided to RiskFacts will be kept for the shortest duration necessary to carry out User requests and/or grant User access at User’s request. Examples of User data include first and last name, mailing address, email address, mobile phone number, user name, and password. Payment information will be transmitted directly to a third-party provider and will not be stored by RiskFacts.

10.Third Party Sites.

RiskFacts may publish links to other sites from the Site. Please note that RiskFacts does not control the content, practices, or policies of any other sites, including what information those sites collect about User. Should User choose to follow a link from the Site, User agrees to hold RiskFacts harmless from any and all claims relating to User’s use of said third party sites. Additionally, RiskFacts neither endorses nor assumes any responsibility for the privacy policies or information gathering practices of any site that User may link to from the Site. In addition, User may choose to respond to advertisements that are posted on the Site or made available via RiskFacts’ Service, or to direct marketing oﬀers from third party sponsors or advertisers. RiskFacts does not control the content, practices or policies of its sponsors or advertisers. User assumes all risks of using links to third party websites from the Site.

11.Site Security.

User may not, nor may they allow others to directly or indirectly attempt to or actually disrupt, impair or interfere with, alter or modify the Site or any content. User may not, nor may they allow others to, directly or indirectly, collect or attempt to collect any information about others from the Site. User agrees to provide accurate, current, and complete information as prompted by the Site to establish and maintain credentials to access the Site and Reports. User agrees to maintain the security of their login credentials and accept all risks of unauthorized access.

12.Governing Law.

These Terms and Conditions are governed by and will be construed and enforced in accordance with the laws of the State of Texas as applied to agreements entered into and completely performed in the State of Texas. Any dispute, controversy, or claim arising out of or relating to these Terms, whether based in contract, tort, or otherwise shall be ultimately and finally resolved by binding arbitration in Tarrant County, Texas. Additionally, any dispute, controversy, or claim arising out of or relating to any disputes relating to the content of the Site shall be ultimately and ﬁnally resolved by binding arbitration in Tarrant County, State of Texas. The arbitration shall be conducted by one arbitrator in English and in accordance with the Commercial Arbitration Rules of the American Arbitration Association, which shall administer the arbitration and act as appointing authority. The decision of the arbitrator shall be binding upon the parties hereto, and the expense of the arbitration (including without limitation the award of attorneys' fees to the prevailing party) shall be paid as the arbitrator determines. The decision of the arbitrator may be entered by any court of competent jurisdiction. User agrees to submit to the jurisdiction of the state and federal courts in Texas for the purposes of any judicial proceedings to obtain interim relief and in aid of the arbitration or judicial proceedings to conﬁrm or enforce the award. Notwithstanding the foregoing, RiskFacts may seek recourse including, but not limited to, preliminary injunctive relief from a court of law in the event of a breach of the Terms and/or Agreement by User.

13. Non-waiver of Rights.

Failure on the part of RiskFacts to insist upon a strict performance of any of the terms, conditions, and covenants of these Terms shall not be deemed a waiver of any rights or remedies herein granted to RiskFacts, nor shall it be construed as a waiver of any subsequent breach or default of terms, conditions, and covenants herein stipulated.

14. Severability.

If any part of these Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most clearly matches the intent of the original provision and the remainder of these Terms shall continue in eﬀect.

15. Interpretation.

User hereby acknowledges it has been advised to and has had the opportunity to consult with its own attorney prior to entering into this Agreement. User further acknowledges and agrees that any law or rule of construction or interpretation to the effect that ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement. Paragraph headings or titles contained in this Agreement are provided for convenience only and shall neither form any part of this Agreement nor shall they affect its construction or interpretation.

16. Entire Agreement.

These Terms, together with other documents and materials, that are speciﬁcally incorporated as if set forth fully herein, represent the entire agreement between the User and RiskFacts, with respect to use of and availability of material on or through this Site, and the Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written between the User and RiskFacts with respect to this Site.

17. End-User License Agreement.

User agrees to the following as a condition precedent to using the Services, Report(s), and/or the Site. Should all or any portion of Section 17 conflict with any other term(s) in this Agreement, the terms which exist in the Agreement prior to Section 17 shall be given precedence over the terms contained in Section 17 and the Parties hereto agree that a court of competent jurisdiction shall interpret the agreement without the conflicting language from Section 17.

This End-User License Agreement (“EULA”) is a legal agreement between User (“Licensee”) and Envirosite Corporation dba RiskFacts (“Licensor”). You agree that this EULA is enforceable like any written negotiated agreement signed by you. This EULA applies to the use of downloaded Digital Parcel Map Content (“Data”).

Please read this EULA carefully. By using all or any portion of the property Data provided in the Site, Report, and Services (“Content”) you accept all the terms and conditions of this EULA.

1) GRANT OF LICENSE: This EULA grants a license (“License”) that permits you to use the Content, provided the Content is installed only on devises within your organization’s enterprise. This License is non-exclusive and non-transferable. This License does not grant any rights to obtaining future upgrades, updates or supplements of the Content. If upgrades, updates or supplements of the Content are obtained, however, the use of such upgrades or updates is governed by this EULA and the amendments that may accompany them and may be subject to additional payments and conditions.

2) COPYRIGHT: Copyright and other intellectual property rights to the Content, to any copies that you may make are owned by Licensor and/or its third party supplier. Licensor permits you to use the Content only in accordance with the terms of this EULA. All rights not specifically granted in this EULA are reserved by Licensor and/or its third party supplier. This EULA does not give you ownership of the Content and only gives you a license to use the Content.

3) OTHER RESTRICTIONS: Renting, lending, sublicensing, copying, broadcasting or any other kind of distribution of the Content is prohibited outside of your organization's enterprise. You will not disassemble, decompile, manipulate or reverse engineer any portion of the Data other than current normalization operations to assure common format for Data. Licensor, and its third party suppliers, reserves the right to take additional security measures such as adding watermarks to the Data that must be maintained as part of the Data. Licensor considers such security measures confidential business information subject to trade secret protection, and the confidentiality provisions listed in this Agreement, and as such is not required to disclose to the End User the specifics of its security measures. You may not under any circumstances, knowingly remove any security measures from the Data. If you knowingly remove any security measures from the Data, it will be considered a breach of this Agreement which would be grounds for termination of this Agreement under Section 7 of this Agreement.

4) CONFIDENTIALITY: You acknowledge and agree that the Content was developed at considerable time and expense by Licensor and/or its third party supplier and is confidential to and a trade secret of Licensor and/or third parties. You agree to maintain the Content in strict confidence and not to disclose or provide access thereto to any person.

5) WARRANTY:
a) Licensor does not and cannot warrant that the Content operates error-free. You should be particularly aware of the fact that calculation errors may occur when using Content in a geographic positioning system for instance caused by local environmental conditions and/or incomplete Data.
b) Licensor does not guarantee that Content will meet your requirements or expectations, or is fit for your intended purposes. There are no expressed or implied warranties of fitness or marketability given in connection with the sale or use of Content. Licensor disclaims all other guarantees not expressly provided in this EULA.
c) In the event that the Content is defective, as demonstrated by you and accepted by Licensor, Licensor shall provide a replacement copy.
d) Licensor and its third party supplier provides the Content “AS IS AND WITH ALL FAULTS”, and hereby disclaim all other warranties and conditions, whether express, implied or statutory, including, but not limited to, any (if any) implied warranties, duties or conditions of: merchantability, non- infringement, quiet enjoyment, system integration, satisfactory quality, fitness for a particular purpose, reliability or availability, accuracy or completeness of responses, results, workmanlike effort, lack of viruses, and reasonable care and skill, all with regard to the Content.

6) LIMITATION OF LIABILITY: Neither Licensor nor its third party supplier shall be liable to Licensee or to any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages (including in each case, but not limited to, damages for the inability to use the Content, loss of data, loss of business, loss of profits, business interruption or the like) arising out of the use of or inability to use the Content even if Licensor has been advised of the possibility of such damages.

7) TERMINATION: Without prejudice to any other rights, Licensor may immediately terminate this EULA if you fail to comply with any of its terms and conditions. In such event, you must destroy all copies of the Content. The following provisions of this Agreement will survive termination, will remain in effect after termination of this EULA: Sections 2, 3, 4, 5, and 6. Licensor reserves the right, with or without notice, to discontinue upgrade and supplement services provided to you or made available to you through the use of the Content.

100-Yr Floodplain:

The National Flood Hazard Layer Database (NFHL) is a computer database that contains the flood hazard map information from FEMAs Flood Map Modernization program. These map data are from Digital Flood Insurance Rate Map (DFIRM) databases and Letters of Map (FIRM). Only the 100-year floodplains are represented.

Brownfields Site:

Sites that are delineated and logged as having accessed Brownfield grant opportunities.

DOD/HIST DOD:

Delineated areas that have historically or are presently supporting Historic or current US Department of Defense (DOD) operations, respectively.

EV Charging and/or Alt Fuel:

Electrical Vehicle (EV) Charging Stations and/or Alternate Fuel which can include Ethanol, Bio-diesel, Hydrogen, Propane and/or Natural Gas.

NPL/Superfund:

A Superfund site is a location contaminated by hazardous waste that has been designated by the U.S. Environmental Protection Agency (EPA) for management and cleanup. Superfund sites are prioritized in the National Priorities List (NPL), which has been established and maintained since 1983.

PFAS Related:

PFAS (Per- and Poly-FluoroAlkyl Substance) Related Site. PFAS is a group of emergent chemicals of concern 'coined forever chemicals'. These chemicals do not naturally breakdown, bioaccumulate, and are related to human health impacts. These flagged sites are locations where PFAS has been detected in the environment or where PFAS chemicals may have been manufactured, stored or used.

Pipelines:

Where available, registered and publicly documented petroleum or chemical pipelines alignment.

Wetlands:

As made available, National and/or State delineated wetlands. Wetlands are areas where water covers the soil or is present either at or near the surface of the soil all year or for varying periods of time during the year, including during the growing season.
